Any reservation request, trailer rental, or other transaction made through the Website is subject to the Company’s separate Equipment Rental & User Agreement (“Rental Agreement”), along with any additional terms, policies, or disclosures presented during the reservation or checkout process. In the event of any conflict between these Terms of Use and the Rental Agreement, the Rental Agreement will control with respect to the rental transaction.

Submission of a reservation request through the Website does not guarantee trailer availability, constitute acceptance of a reservation, or create a binding rental agreement. All reservations are subject to availability and approval by the Company.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. Unless otherwise stated, all changes become effective immediately upon posting and apply to all access to and use of the Website thereafter.

These Terms of Use, the Website, and any dispute or claim arising out of or relating to them, including any non-contractual dispute or claim, shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles.

Except as provided in the Arbitration section below or in the Company’s separate Equipment Rental & User Agreement, any legal action or proceeding arising out of or relating to these Terms of Use or the Website shall be brought exclusively in the state courts located in Ozaukee County, Wisconsin, or, where federal jurisdiction exists, the United States District Court for the Eastern District of Wisconsin.  By using the Website, you consent to the personal jurisdiction and venue of those courts.

Arbitration

Any dispute, claim, or controversy arising out of or relating to a trailer rental transaction shall be resolved in accordance with the arbitration provisions contained in the Company’s Equipment Rental & User Agreement (“Rental Agreement”).

Any dispute arising solely from these Terms of Use or the Website, and not governed by the Rental Agreement, may, at the Company’s election, be resolved by final and binding arbitration administered by the American Arbitration Association in accordance with its applicable rules and Wisconsin law. Limitation on Time to File Claims

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATING TO THESE TERMS OF USE OR THE WEBSITE, AND NOT ARISING OUT OF THE EQUIPMENT RENTAL & USER AGREEMENT OR ANY TRAILER RENTAL TRANSACTION, MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ACCRUES. OTHERWISE, THE CLAIM WILL BE PERMANENTLY BARRED.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

For any trailer rental transaction, the Company’s Equipment Rental & User Agreement and any documents expressly incorporated therein will govern the rental transaction.
